Package Policy&Terms

This policy outlines the scope of service, responsibilities, and terms for The Xavier Edge Method (XEM) Premium monthly subscription ("XEM Premium" or "Subscription") between XEM and the subscribing real estate Agent/Team ("Client").

I. Subscription Scope and Service Definition

A. Unlimited Transactions

The XEM Premium service includes the processing and coordination of an unlimited number of real estate transactions (New Contracts to Close) initiated by the Client during the active subscription month.

 

B. Executive File Ownership

 

A dedicated XEM Transaction Coordinator (TC) will be assigned to the Client and will manage all transactions from contract execution through closing (or cancellation). The TC will be responsible for:

  1. Contract-to-Close Workflow: Establishing and maintaining all file milestones, task checklists, and proactive deadline tracking (contingencies, deposit dates, etc.).

  2. Document Management: Organizing, naming, uploading, and ensuring all required documents are collected, signed, and placed in the designated brokerage platform/file system.

  3. Brokerage Compliance & Audit Prep: Proactively reviewing files against the Client's specific brokerage compliance standards and local DMV-area regulations to ensure files are "Audit-Ready" at all times.

 

C. White-Glove Client Communication

 

The XEM TC will serve as the Client's administrative liaison, handling non-negotiable, detail-oriented communication with:

  • The Client's Buyers and Sellers (under the Agent's direct supervision and utilizing the Agent's specific communication style).

  • Lenders, Title/Escrow Companies, and Co-op Agents (for administrative requests and scheduling only).

The XEM TC is strictly prohibited from providing advice, negotiating terms, or discussing commission or pricing with any party. All such communications will be immediately forwarded to the Client.

 

II. Client Responsibilities (Agent/Team)

 

To ensure the success and compliance of the unlimited model, the Client agrees to the following responsibilities:

 -Initial Handoff: Client must submit the fully executed contract and all available initial disclosures to the XEM TC within 1 business day of execution.

 -Final Decision Making: Client retains full responsibility for all contractual negotiations, pricing, legal decisions, and commission agreements.

 -Providing Information: Client must promptly respond to TC requests and provide all necessary contact information (client, vendors, etc.) and completed forms required for the transaction.

 -Brokerage Supervision: Client is responsible for their Broker's final review and approval. XEM's compliance review does not negate the Client's obligation to follow all brokerage policies.

 -Licensing: Client warrants that they are a currently licensed real estate agent in good standing with the appropriate DMV state real estate commission.

 

III. Financial Terms and Cancellation

A. Subscription Fee and Billing

 

The fee for the XEM Premium service is $1,000 per month and is payable in advance on the first day of the monthly cycle (the "Renewal Date"). Payment will be collected automatically.

 

B. Unlimited Usage Policy

 

The "unlimited" usage is subject to fair and reasonable use by a single Agent or Team (as designated upon enrollment). XEM reserves the right to review usage deemed excessive or indicative of an unforeseen business model change (e.g., a consistent, significant increase in transaction volume that materially impacts XEM's guaranteed service level). Should the Client's usage consistently impact XEM's ability to provide service, XEM will propose an adjusted rate or a dedicated resource fee.

 

C. Cancellations and Refunds

 

  1. Termination by Client: The Client may cancel the Subscription at any time by providing written notice to XEM.

  2. Effective Date: Cancellation is effective on the last day of the current paid billing cycle. No prorated refunds will be issued for cancellations made mid-cycle.

  3. Active Files at Cancellation: Any transaction files still active (not closed or canceled) on the effective date of cancellation will be immediately handed back to the Client or converted to an XEM Essential per-transaction fee (currently $350 per file) to complete the service.

 

IV. Disclaimer and Limitation of Liability

 

  1. Independent Contractor Status: XEM is an independent contractor, and the XEM TC is solely providing administrative support services. XEM is not a licensed real estate brokerage, a licensed attorney, or a licensed insurance provider.

  2. No Legal Advice: The XEM TC does not offer legal, financial, tax, or investment advice. The Client must consult with appropriate legal counsel for any contractual questions or issues.

  3. Limitation of Liability: XEM is responsible for diligently executing the administrative tasks as defined in this policy. XEM shall not be liable for any failure to close, loss of earnest money, loss of commission, or any legal claims arising from the transaction. The Client agrees to indemnify and hold harmless XEM from all claims, disputes, litigation, and attorney fees that may arise in connection with these transactions.

  4. Confidentiality: XEM agrees to maintain strict confidentiality regarding all Client and client information and will not disclose such information outside the scope of the services provided herein.
